These Terms of Service ("Terms") govern your use of the Rupnidhi software, websites, mobile applications, and services (collectively, the "Services") provided by Neoera Infotech ("Company", "we", "our", or "us"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, downloading our applications, or otherwise accessing the Services, you accept and agree to these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Rupnidhi provides a cloud-based business management platform, which includes features for GST compliant invoicing, Point of Sale (POS) operations, inventory tracking, HR/Payroll management, and AI-assisted data processing. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. User Responsibilities

As a user of our Services, you agree to the following responsibilities:

• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Data Accuracy: You agree to provide accurate and complete business information, including your GSTIN, PAN, and other legal identifiers required for compliance purposes.
• Lawful Use: You will not use the Services for any illegal or unauthorized purpose, including the generation of fraudulent invoices or evasion of taxes.

4. Subscriptions, Payments, and Refunds

Certain features of the Services are provided via paid subscriptions.

• Billing: By selecting a paid plan, you authorize us to charge your provided payment method on a recurring basis (monthly or annually).
• Taxes: Subscription fees are exclusive of applicable taxes unless otherwise stated. You are responsible for all taxes associated with your purchase.
• Cancellations: You may cancel your subscription at any time. Cancellations will take effect at the end of your current billing cycle. We do not provide refunds or credits for partial billing periods.

5. Intellectual Property Rights

The Services, including its original content, features, software code, and design, are and will remain the exclusive property of Neoera Infotech and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business operations.

6. Limitation of Liability and GST Disclaimer

While Rupnidhi is designed to assist with GST calculations and compliance reporting, we do not provide tax or legal advice. It is your sole responsibility to verify the accuracy of your invoices, tax calculations, E-Way bills, and E-Invoices before filing returns with the government.

In no event shall Neoera Infotech, its directors, employees, or agents be liable for any indirect, incidental, special, or consequential damages, including lost profits, loss of data, or penalties incurred due to incorrect tax filings or software downtime.

7. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu.
